This Membership Agreement (the "Agreement") is a legal agreement between you and USATV LLC ("we", "us", the "Company") governing your access to and use of the USATV application and service ("USATV" or the "Service"). By creating an account, subscribing or otherwise using the Service, you agree to this Agreement. If you do not agree, do not use the Service.
PLEASE READ SECTION 12 (DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS-ACTION WAIVER) CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
1. Eligibility and account
You must be at least 16 years of age to use the Service, and the Service is not directed to children under 13. You agree to provide accurate registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at alina@usatv.com if you suspect any unauthorized use of your account.
2. License to use the Service
Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own private, non-commercial purposes. All content is provided for personal use only.
3. Acceptable use
You agree not to:
- copy, record, download (except where a feature expressly allows), reproduce, distribute, publicly perform, broadcast or make available any content;
- circumvent, disable or interfere with any security, access-control or geographic-restriction technology;
- share your account credentials or allow unauthorized persons to use your account;
- use the Service for any unlawful, infringing or harmful purpose;
- use automated means (bots, scrapers) to access the Service; or
- reverse engineer, decompile or attempt to extract source code from the app, except to the extent permitted by law.
4. Subscriptions, billing and automatic renewal
Certain features and content require a paid subscription or purchase. Plan details, prices (including applicable taxes) and billing periods are shown in the app before you confirm a purchase. Purchases are processed by the applicable app store (Apple App Store or Google Play) or payment provider and are subject to their terms.
Unless stated otherwise, subscriptions renew automatically at the end of each billing period at the then-current price until cancelled, and your app-store account or payment method is charged for each renewal. You can turn off automatic renewal at any time through the subscription settings of the store where you purchased; access continues until the end of the current period. Except where required by law or by the applicable store's policy, payments are non-refundable, and app-store refund requests are handled by the store.
5. Content and availability
The content, channels and features available through the Service may change and may differ by region and by plan. We do not guarantee that any particular content will be available at any given time. We may add, remove or modify content and features at our discretion.
6. Intellectual property
The Service and all content, software, trademarks, logos and materials made available through it are owned by USATV LLC or its licensors and are protected by U.S. and international intellectual-property laws. Except for the limited license granted above, no rights are transferred to you.
7. DMCA / copyright notices
We respect the intellectual-property rights of others. If you believe content available through the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent at alina@usatv.com, including: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. We may remove infringing material and terminate repeat infringers.
8. Third-party services
The Service may rely on or link to third-party services (app stores, payment providers, content providers, networks). Your use of those services is subject to their own terms and privacy policies, and we are not responsible for them.
9. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach this Agreement, if required by law, or if necessary to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive will remain in effect.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free or secure.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USATV LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE OR PROFITS. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Dispute resolution; binding arbitration; class-action waiver
Please read this section carefully. Except for claims that qualify for small-claims court and disputes about intellectual property, you and USATV LLC agree to resolve any dispute arising out of or relating to this Agreement or the Service through final and binding individual arbitration, rather than in court, administered under the rules of a recognized arbitration provider. YOU AND USATV LLC WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. The arbitration will take place in Los Angeles County, California, United States, or as otherwise agreed. If this class-action waiver is found unenforceable, the remainder of this section will not apply to that claim. You may opt out of this arbitration agreement within 30 days of first accepting it by emailing alina@usatv.com with your name and account details.
13. Changes to the Service or this Agreement
We may update this Agreement from time to time. If we make material changes, we will take reasonable steps to notify you (for example within the app). Your continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.
14. Governing law
This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Subject to Section 12, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute not subject to arbitration.
